TLH, Advocates & Solicitors advised Cognitus on the India leg of the global transaction pursuant to which IBM acquired Cognitus Consulting and its worldwide subsidiaries.

The acquisition strengthens IBM’s AI solutions portfolio and SAP implementation capabilities through the addition of Cognitus’s industry-specific expertise and proprietary SAP-endorsed software assets.

TLH advised on key aspects of the Indian component of the transaction, including legal due diligence on the Indian entity of Cognitus, review of transaction documents in relation to India-specific terms and conditions, and assistance with India-specific closing actions.

The transaction highlights the Firm’s continued expertise in handling complex cross-border technology and strategic acquisition mandates involving multinational corporations.
