Deepika Yadav is a Principal Associate in the Corporate & Commercial, M&A, PE, JV and Restructuring Practice. She has experience in transaction structuring, commercial advisory, and general corporate matters, and regularly advises both domestic and international clients on a wide range of legal and regulatory matters, including SEBI regulations, foreign exchange laws, and company law compliances.
She has advised clients across various stages of the investment lifecycle, including early-stage fundraising, private equity and venture capital investments, strategic acquisitions, and corporate re-organizations. Her practice includes advising on transaction documentation, due diligence, regulatory structuring, and commercial negotiations.
Deepika has predominantly worked with clients in the software, fintech, pharmaceuticals, infrastructure, edtech, and e-commerce sectors.
She also has a growing focus on the renewable energy sector, particularly in relation to solar, wind and hybrid energy projects. Her experience includes advising on structuring, commercial arrangements, and regulatory aspects in the clean energy space, with a practical and commercially driven approach to transactions.

- Led the transaction for setting up of a wind power projects in India, including the drafting, negotiation with various vendors, and finalization of supply, commissioning, and operations & maintenance (O&M) agreements for the development of a wind power project in India, undertaken by one of the country's largest renewable energy developers.
- Led a transaction involving the transfer of an undertaking by way of slump sale from a listed pharmaceutical company to its wholly-owned subsidiary, including structuring, due diligence coordination, and end-to-end documentation for the business transfer.
- Led a primary overseas investment in a fintech company, including transaction structuring, due diligence coordination, and drafting/negotiation of definitive agreements.
- Led a primary investment of INR 4 crores in an India-based content development company, including preparation and negotiation of transaction documents and closing support.
- Led the drafting, negotiation, and finalization of supply, commissioning, and operations & maintenance (O&M) agreements for the development of a wind power project in India of 82 MW capacity.
